These terms and conditions shall govern the sale and purchase of products through our website.

You will be asked to give your express agreement to these terms and conditions before you place an order on our website. In these terms and conditions “we” means Norden Tools; and “you” means our customer or prospective customer, and “us”, “our” and “your” should be construed accordingly.

The advertising of products on our website constitutes an “invitation to treat” rather than a contractual offer.

To enter into a contract through our website to purchase products from us, the following steps must be taken you must add the products you wish to purchase to your shopping cart, and then proceed to the checkout; if you are a new customer, you must then create an account with us and log in; if you are an existing customer, you must enter your login details; once you are logged in, you must select your preferred method of delivery and confirm your order and your consent to the terms of this document; you will be transferred to our payment service provider’s website, and our payment service provider will handle your payment; we will then send you an initial acknowledgement; and once we have checked whether we are able to meet your order, we will either send you an order confirmation (at which point your order will become a binding contract) or we will confirm by email that we are unable to meet your order.

The information that you shall give to Norden tools when registering as a customer or signing up for a newsletter is necessary for the creation of your profile, establishment and delivery of purchased goods. Norden tools is required to process all data delivered or gathered by its own motion in a confidential manner, including details of the selected products. Terms of Sale

Net 30 days: Interest is charged at 1.5% per month on invoices over 60 days old. Products sold remain the property of Norden tools until the invoice for the product is paid in full. Our terms and conditions dictate that there is a GSA (General Security Agreement) in place on all products sold by Norden tools until payment is made in full. We may require, at our discretion, full payment in advance of an order being shipped. By placing an order with Norden tool sit is understood that these terms and conditions are known and accepted.

We make sure to give you a complete payment protection! You can pay by Online Banking facility, BBVA payment transfer facility, Credit/ Debit card, Money Gram, Western Union etc. and place your order! You will receive Invoice and Confirmation of your order by Email as soon as you make payment!

RETURNS AND CREDITS
If you wish to return an unused instrument, please contact Norden Tools for authorization before doing so. Any returns not authorized in advance will be rejected by our shipping department and returned at your expense. Unused instruments can be returned or exchanged within 30 days of the invoice date. Instruments must be returned in their original packing, and shipping charges must be prepaid. Any unused instrument returned without its original packing may be subject to a 50% restocking charge. The invoice number and reason for return must be indicated. After examination, defective instruments will be immediately replaced at no charge. Instruments ordered in error and returned for exchange may be subject to a 50% restocking charge, plus the shipping charges originally incurred. Used, autoclaved or sterilized instruments are not returnable for credit or exchange. Orders for custom-made instruments are non-cancelable, non-returnable and non-refundable.

Custom etched instruments are non-returnable and non-refundable. Sterile packaged items cannot be accepted for return unless they are defective, in which case we will replace them.

PRICES
We reserve the right to alter packaging or change prices at any time without prior notification. We will always notify the customers prior to shipping an order when such changes occur, unless the increase is minimal and would not warrant delaying an order. We reserve the right to make partial shipments at our discretion unless instructed to the contrary. We also reserve the right to discontinue any items without prior notice. Payment Options:
We accept Visa, MasterCard, American Express or cheque; cheques should be mailed to us within 30 days of receipt of invoice. Credit card payments can be made when you place your order by telephone or online; you can also call us with your credit card within 30 days of receipt of invoice of mailing a cheque. On larger orders we may, at our discretion, require full payment in advance before delivery.

Freight
Unless otherwise stated, the Customer is responsible for paying shipping expenses, including adequate insurance on all items returned for repair, return or exchange. NORDEN TOOLS will cover the freight charges for returns for quality issues

Any questions, comments, suggestions, ideas, inventions, concepts, techniques, know how or any other communications, which you forward or otherwise transmit, electronically or by any other means, to Norden tools via Norden tools’s website, will be treated as non-confidential, non-proprietary information and will become the property of Norden tools, which Norden tools without restriction may use in any fashion and for any purposes whatsoever including developing, manufacturing and/or marketing goods or services.

ORDERING INFORMATION
In order to avoid errors, please be sure to list catalog number, complete item description, and exact quantity desired. Please mark all confirming orders as “CONFIRMING” to avoid duplication and unnecessary charges. All orders are shipped F.O.B. Westbury, N.Y., plus sales tax where applicable. Customs brokerage fees and duty, if applicable, become the responsibility of the customer. Customer takes legal possession as soon as merchandise is delivered to a common carrier. Our terms are 2% 10 days, net 30 days, unless quoted otherwise.

RETURN OF PRODUCT
Product returns will only be accepted within ninety (90) days of date of invoice (subject to the shorter period for claim. Seller’s prior approval to return Product (including Rejected Product) is required. The request for Product returns must include the reason, catalog number, lot number, quantity, invoice number and RGA. All items must be returned unopened, in full boxes only, and, with the exception of Rejected Product, are subject to a 20% restocking charge. Product that has been opened, damaged or tampered with and Product manufactured on a “special order” or “custom order” basis, is not returnable.
Warranty
NORDEN TOOLS strives to maintain the highest quality standards in all products. We warranty these products against defects in workmanship or materials, and all NORDEN TOOLS products retain a warranty that is stated in the products manual. (Typically, one year for parts and labor except for consumable items such as electrodes, glass, etc., for which warranty varies from 30 days to six months.) However, NORDEN TOOLS hereby specifies that no use or application of any product may be suitable or successful for a specific application and therefore waives all liability in that regard. It is the sole responsibility of the buyer/user to apply the product in a manner consistent with its intended use. NORDEN TOOLS products are not approved for human use unless specifically stated in writing with accompanying FDA (or applicable) documents. NORDEN TOOLS assumes no liability or legal, moral, ethical, or fiduciary responsibility for a use of any product in the NORDEN TOOLS catalog in treating or studying humans. Miscellaneous

All communications between the parties about the Contract shall be in writing and delivered by pre-paid first class post. In the absence of evidence of earlier receipt, any notices shall be deemed to be duly served. If sent by first class post, two working days after posting.

Neither party, its employees or agents shall offer, give or agree to give to any person any gift or consideration of any kind as an inducement or reward for doing or for bearing to do, or for having done or for borne to do, any action in relation to the obtaining or execution of any contract with the other party.
Each right or remedy of the Company under these conditions is without prejudice to any other right or remedy of the Company. On termination of the Contract, howsoever caused, all obligations which are expressed to remain in effect shall survive termination of the Contract, together with such conditions the survival of which is implied or is necessary for the interpretation or enforcement of the Contract.

If any provision of the Contract is held to be wholly or partly illegal, invalid, void, voidable, unenforceable or unreasonable it shall. To the extent of such illegality, invalidity, voidness, void ability, unenforceability or unreasonableness, be deemed to be severable and the remaining provisions of the Contract and the remainder of the provision shall continue in full force and effect.

No waiver or forbearance by the Company (whether express or implied) in enforcing any of its rights under these conditions shall prejudice its right to do so in the future.
